By accessing or using utilityera.com (the "Site") or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Service.

These Terms apply to all visitors, registered users, and anyone else who accesses or uses the Service. Use of the Service also constitutes your agreement to our Privacy Policy, which is incorporated into these Terms by reference.

Throughout these Terms the following definitions apply:

UtilityEra provides a suite of unit and currency conversion tools that operate entirely in your browser. No input values are transmitted to our servers during the conversion process.

• Free tier — All conversion tools are freely accessible without registration. No account is required to use the converters.
• Access — UtilityEra’s converter tools are available directly on the website. Any future premium or advanced features will be described on the relevant pages if introduced.
• Service changes — We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practical. We will not be liable to you for any such modification, suspension, or discontinuation.

If you create an account to use certain site features, the following terms apply:

• Accurate information — You must provide accurate, current, and complete information during registration and keep it up to date.
• Password security — You are responsible for maintaining the confidentiality of your credentials. Notify us immediately at support@utilityera.com if you suspect unauthorised access.
• One account per person — You may not create multiple accounts to circumvent feature limits or subscription requirements.
• Account security — You are responsible for all activity that occurs under your account. UtilityEra is not liable for losses arising from your failure to secure your credentials.

We reserve the right to suspend or terminate accounts that violate these Terms, remain inactive for more than 24 months, or are associated with fraudulent activity.

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others. The following conduct is expressly prohibited:

• Automated scraping — Systematic crawling or scraping of the Site for data extraction without our prior written consent.
• Excessive automated requests — Sending requests at a rate that materially impairs the performance of the Service for other users (more than 60 requests per minute from a single IP).
• Malicious code — Uploading, transmitting, or distributing malware, viruses, or other harmful or disruptive code.
• Impersonation — Impersonating any person or entity, or falsely claiming affiliation with UtilityEra.
• Circumvention — Attempting to bypass, disable, or circumvent any security or access-control feature of the Service.
• Illegal activity — Using the Service to facilitate any activity that violates applicable local, national, or international law.

All Content on the Service — including but not limited to conversion formulae, text, graphics, logos, and code — is owned by or licensed to UtilityEra and is protected by applicable intellectual property laws.

What you may do:

• Access and use the Service for personal, non-commercial purposes.
• Share links to individual converter pages.
• Embed a single converter widget on your own website, provided the UtilityEra attribution link is preserved and visible.
• Quote brief excerpts from our blog for commentary or education, with clear attribution.

What you may not do:

• Copy, reproduce, or distribute the Site's Content or code for commercial purposes without prior written permission.
• Create a competing service substantially derived from our Content or UX.
• Remove or alter any copyright, trademark, or attribution notices.
• Reverse-engineer or decompile any proprietary algorithms used in the Service.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

• Conversion accuracy — While we take every care to ensure accuracy, conversions are provided for informational purposes only. You should independently verify results before relying on them for safety-critical, medical, financial, or legal decisions.
• Currency rates — Exchange rates displayed are indicative and updated daily. They are not live trading rates and should not be used for actual financial transactions.
• Service availability — We do not guarantee uninterrupted or error-free access to the Service. Planned maintenance and unexpected outages may occur.

To the fullest extent permitted by applicable law, UtilityEra Ltd and its directors, employees, and affiliates will not be liable to you for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Service.

To the fullest extent permitted by law, UtilityEra’s liability is limited to direct damages only. We are not liable for indirect, incidental, or consequential losses arising from use of the Service.

You agree to indemnify, defend, and hold harmless UtilityEra Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Service in violation of these Terms.
• Your violation of any third-party rights, including intellectual-property or privacy rights.
• Any User Content you submit to us.
• Any misuse of the Service for unlawful purposes.

We reserve the right, at your expense, to assume exclusive defence and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defence of such claims.

Either party may terminate the use of the Service at any time:

• By you — You may stop using the Service at any time.
• By us (with notice) — We may terminate or suspend your account with 30 days' notice for any reason, including a decision to discontinue the Service.
• By us (immediate) — We may terminate or suspend your account immediately and without notice if you breach these Terms, particularly Section 5 (Acceptable Use).

Upon termination, your right to use the Service ceases immediately. Sections 6 (IP), 7 (Disclaimers), 8 (Liability), 9 (Indemnity), and 11 (Governing Law) survive termination.

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles.

You agree to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute arising from these Terms, except where mandatory consumer-protection laws in your country of residence give you the right to bring a claim in local courts.

We may update these Terms from time to time. Material changes will be notified via a site-wide banner and, where we hold your email, by direct notification, at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
